Nectar Digit provides IT solutions and digital services including, but not limited to, web development, mobile application development, digital marketing, SEO, AI/ML solutions, cloud solutions, UI/UX design, and IT consultancy. The specific scope, timeline, and cost of services are defined in individual project agreements or proposals.

3. Intellectual Property

• Client-Owned Work: Upon full payment, the intellectual property of custom deliverables created exclusively for you becomes your property, unless otherwise specified in the project agreement.
• Pre-existing IP: Any tools, frameworks, libraries, or methodologies used or developed by Nectar Digit prior to or independently of your project remain our property.
• Website Content: All content on nectardigit.com (text, graphics, logos, design) is the property of Nectar Digit and may not be reproduced without written permission.

4. Payment Terms

• Payment terms are specified in individual project proposals or invoices.
• Typical arrangements require an advance deposit before work commences.
• Late payments may result in project suspension or additional charges.
• Prices are in the currency agreed upon in the project agreement.

5. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary access/credentials required to complete the project. Delays caused by client inaction may affect delivery timelines and are not the responsibility of Nectar Digit.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of any service agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Nectar Digit's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

8. Warranties

We warrant that our services will be performed with reasonable skill and care. We do not guarantee specific business outcomes, search engine rankings, or revenue results, as these depend on many factors beyond our control.

9. Termination

Either party may terminate a service agreement with written notice as specified in the project contract. Work completed up to the termination date is billable. We reserve the right to suspend or terminate services for non-payment or breach of these Terms.

10. Governing Law

These Terms are governed by the laws of Nepal. Any disputes shall be resolved through good-faith negotiation, and if unsuccessful, through the courts of Kathmandu, Nepal.

11. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via our website. Continued use of our services constitutes acceptance of the updated Terms.
